Terms of Service

1. Acceptance of Terms

By accessing or using BREAK’s digital products and services (including PRISMA, GALILEO, ECO, and future offerings under the Break Partner Network), you agree to be bound by these Terms of Service (“Terms”), as well as our Privacy Policy. If you do not agree, you may not access or use our services.

These Terms apply to all licensees, partners, clients, and end-users who interact with our platform directly or indirectly.

2. Description of Services

BREAK offers a set of digital marketing products under an annual licensing model:

  • PRISMA: Campaign commercialization solution with phases in distribution, analytics, and optimization.

  • GALILEO: Real-time immersive data visualization platform with storytelling and analogies.

  • ECO: Social listening tool (expected launch: Q3 2025).

These services are credit-based and intended for professional and commercial use under license agreements.

3. User Responsibilities

If you are a BPN licensee:

  • You are responsible for executing, managing, and delivering BREAK products to your end clients.

  • You must comply with all contractual terms, including proper credit usage and accurate quoting via our online tools.

  • You agree not to misuse, reverse-engineer, or resell BREAK products outside the scope of the authorized license.

If you are an end-client:

  • You acknowledge that your engagement is managed by a BPN-authorized licensee, not directly by BREAK.

  • You agree to provide accurate information when requested for campaign execution or data analysis.

4. License & Intellectual Property

All BREAK products, content, data visualizations, methodologies, software tools, and branding are the exclusive property of AGENCIA BREAKMKT S.A. DE C.V. and are protected under Mexican and international intellectual property laws.

Your license grants non-exclusive, non-transferable rights to use the products as described, but not to reproduce, replicate, modify, or distribute them without written consent.

5. Credit System

License holders are allocated a specific number of credits per year based on their license level (from Level 1 to Level 5).

Each BREAK product consumes credits according to defined complexity:

  • PRISMA (Awareness campaign): 1 credit

  • PRISMA (Performance campaign): 1.5 credits

  • GALILEO: Defined per scope and level of data complexity

  • ECO: Pricing and credit model to be announced upon release

Unused credits do not carry over to the next license cycle unless explicitly agreed upon.

6. Data Handling and Confidentiality

BREAK treats all campaign and user data with strict confidentiality and processes it in accordance with our Privacy Policy.

BREAK will never share personal data with third parties unless legally required.

Licensees are contractually obligated to uphold data protection standards equivalent to those described in our policies.

7. Limitation of Liability

BREAK shall not be liable for any indirect, incidental, or consequential damages resulting from:

  • Misuse of our products

  • Incorrect campaign configuration by licensees

  • Third-party data integration errors

  • Platform outages outside of BREAK’s control

Total liability shall be limited to the value of credits or services purchased within the current license period.

8. Termination

BREAK reserves the right to suspend or terminate access to its products in cases of:

  • Breach of these Terms or license agreements

  • Misuse of product data or intellectual property

  • Illegal or unethical use of the platform

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Mexican States. Any legal disputes shall be resolved in the competent courts of Monterrey, Nuevo León, Mexico.
